1.      The purpose of the uGroup site (vendorname.grouplings.com) is to give a platform for a.) Users who want to initiate or join groups of other users, in the purpose of getting a special offer from the vendor, and b.) Vendors who want to have the possibility of selling large quantities of their products or services to users of their site.

2.      Groups can be initiated by users or the vendors, and other users may join those groups. Each user in a group is referred to as a “groupling”.

3.      Users initiating a group must choose a category and sub-category, define the item he or she would like to buy, and add a general description. The user may upload a relevant image and may also add a link to another web site.

4.      Users initiating or joining a group have to add their name, email address and phone number. This is used for administration purposes only, and is NOT shown online.

5.      Each groupling receives an automatic email after initiating or joining a group, with a unique ID assigned to him/her. There is no obligation on the grouplings part, and no payment or payment details are requested at this point.

6.      The vendor receives an automatic notification about each new group. The vendor has 30 days to give an offer to the wishful groupling.

7.      The vendor’s offer must include an accurate name of the item, model name or number, image, detailed description and price. The vendor adds to conditions to the special offer: minimum required members and expiration timelimit. The vendor may add reviews and other information related to the product/service and  about themselves.

8.      A group that has reached the minimum required members within the predefined time frame is considered a successful group. The vendor will contact grouplings for processing payment and service/product delivery.

9.      A group that has reached the predefined time frame with no minimum required members is considered unsuccessful and expires automatically. There are no obligations to the vendor or grouplings in this group.

10. A group without a vendor offer in 30 days expires automatically. There are no obligations to vendor or grouplings in this group.

11. A group may also be initiated by a vendor. In this case it has to include all the offers’ details as described above.

12. Users and vendors are not limited to the number of groups they initiate or join.

13. The supply of the items or products or services is done directly between the vendor and each groupling, including warranty and shipment arrangements.
